WHEELS CORPORATE SOLUTIONS USER LICENSE AGREEMENT

Initial Terms

This End User License Agreement constitutes a valid and binding agreement between Wheels Corporate Solutions, (referred to as "WHEELS") and you, as a user,for the use of the downloaded Article, Online Booking Service, Other Services like Special Service & Wheels Advantages, Working Model.

Terms of License

1. Subject to the terms of this Agreement, you are granted a limited, non-exclusive,personal, non-commercial, license to download, on a PC owned or controlled by you, thedownloaded article.

2. You will not use the article after modifying it, unless under explicit permission from Wheels.

Copyrights

You acknowledge that any and all Intellectual Property Rights to or arising from the article are and shall remain the exclusive property of Wheels. Nothing in this Agreement intends to transfer any such Intellectual Property Rights to you.

Termination

1. This Agreement will be effective as of the date you accept this Agreement and will remain effective until terminated by you or Wheels: You may terminate this Agreement at any time provided you permanently delete or destroy your copies of the article.Wheels may terminate this Agreement for reasons mentioned under Terms of License.

2. Terms relating to License, Copyright, Warranties, and Liabilities shall survive any termination of this Agreement.

Disclaimer of Warranties

1. The article is provided "as is" and there are no warranties, claims or representations made by Wheels.

2. You acknowledge that the entire risk arising out of the use of the article remains with you to the maximum extent permitted by law.

Limitation of Liability

In no event shall Wheels be liable whether in contract, warranty, tort (including negligence (whether active, passive or imputed), product liability or strict liability or other theory), for any indirect, incidental, special or consequential damages (including without limitation any loss of data, service interruption, computer failure or pecuniary loss) arising out of the use or inability to use the article, including any damages resulting there from.

General Provisions

1. This Agreement shall be governed by and construed in accordance with the laws of India.

2. Definitions.

a. Agreement: this End User License Agreement, as may be renewed, modified and/or amended from time to time.

b. Intellectual Property Rights: any and all intellectual property rights, including but not limited to copyrights, trademarks and patents, as well as know how and trade secrets contained in or relating to the software or the Wheels Website.

c. Wheels: refers to "Wheels Corporate Solutions", a company formed under the laws of India.

d. Article: the article provided by Wheels at its Website.

e. Wheels Website: any and all elements, contents and the 'look and feel' of the website available under the URL www.wheelscorporatesolutions.com, from which website the article can be downloaded.

f. Terms of Service: means the agreement between Wheels and you for the use of the article and the content, services and features provided on or through the article;

g. You: you, the end user of the article, also used in the form "your" where applicable.

Express Agreement

You expressly acknowledge that you have read this agreement and understand the rights, obligations, terms and conditions set forth herein. By continuing to download the article, you expressly consent to be bound by its terms and conditions and grant to Wheels the rights set forth herein.
